Your use of the Search Solutions website (adguy.us) and our search engine and pay-per-click advertising services, provided in their entirety by our parent business Digital Property Services, is subject to the following terms, conditions and restrictions. By using this website and the advertising services offered herein, you acknowledge and affirm your acceptance of these Terms of Service:

(1) Communication: The Client’s agreement to our advertising services may be communicated via email, telephone (voice or text) or fax, and any changes or cancellations of service may be communicated by any of these methods as well.

(2) Payment: The Client shall provide timely payment for advertising services rendered via credit card, PayPal or other method mutually agreed upon at the beginning of the service period.

(3) Cancellation & Refund: Advertising services may be canceled at any time by either party with 24 hours notice via communication methods specified above. In the event of cancellation of advertising services by either party, a full refund of any remaining funds will be provided by Digital Property Services, prorated based on number of unused days remaining in payment period. Except in extraordinary circumstances, including but not limited to non-delivery of agreed upon search engine clicks as indicated by client’s website traffic logs, no refunds shall be given for advertising services already rendered.

(4) Governing Law; Attorneys’ Fees. Any legal claims or disputes arising from usage of this website or advertising services described and provided herein will be governed and construed in accordance with the laws of the State of California without giving effect to principles of conflict of laws. Both parties submit to the personal jurisdiction in California and further agree that any cause of action arising under this Agreement must be brought in a court in the County of Alameda, California. If any party to this Agreement shall take any action to enforce this Agreement or bring any action or commence any arbitration for any relief against any other party, declaratory or otherwise, arising out of this Agreement, the losing party shall pay to the prevailing party such party’s reasonable attorneys’ fees and costs incurred in litigating such suit or arbitration and/or enforcing any judgment granted therein.

(5) Limitations on Liability: In no event shall either party be liable to the other party for any special, incidental or consequential damages (however arising, including negligence) arising out of or in connection with usage of this website and the advertising services described and provided herein. The liability of Digital Property Services under this agreement shall be limited to an amount equal to the fees actually received for services rendered.

(6) Severability; Waiver. If any provision of this Terms of Service is held to be invalid or unenforceable for any reason, the remaining provisions will continue in full force without being impaired or invalidated in any way. The parties agree to replace any invalid provision with a valid provision which most closely approximates the intent and intended economic effect of the invalid provision. The waiver by either party of a breach of any provision of these Terms of Service will not operate or be interpreted as a waiver of any other or subsequent breach.

(7) Independent Contractors. The parties to this Agreement are independent contractors, and no agency, partnership, joint venture or employee-employer relationship is intended or created by this Agreement. Neither party shall have the power to obligate or bind the other party. Personnel supplied by Digital Property Services shall work exclusively for Digital Property Services and shall not, for any purpose, be considered employees or agents of the Client. Digital Property Services assumes full responsibility for the acts of such personnel while performing services hereunder and shall be solely responsible for their supervision, direction and control, compensation, benefits and taxes.

(8) All other Terms of Service not described above shall be governed solely by relevant sections of the Standard Terms & Conditions for Internet Advertising, which are incorporated herein by reference.
